BaakMart is owned and operated by BaakMart LLC.

These are the terms and conditions for the affiliate program offered by BaakMart.

By registering for our affiliate program, you agree to be bound by these terms and conditions. In these terms and conditions, the words “website” refers to the BaakMart website, “we”, “us”, “our” and “BaakMart” refers to BaakMart and “you”, “affiliate” and “user” refers to you, the registered user of the BaakMart affiliate program.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE REGISTERING IN OUR AFFILIATE PROGRAM.

Because BaakMart promotes products from the online platform where BaakMart Sellers sell their product(s), the terms and conditions of the online platform where BaakMart Sellers sell their product(s) must apply to the use of BaakMart including the BaakMart Affiliate Program and thus avoid conflicts or violation of the policies of the online platform where the BaakMart Seller sells their product(s). Please consult the terms and conditions of the online platform where BaakMart Sellers sell their product(s) before signing up for our affiliate program or promoting BaakMart affiliate links.

1. ACCEPTANCE OF TERMS

This agreement sets forth the legally binding terms for use of the BaakMart Affiliate Program. By registering and using our affiliate program, you agree to be bound by this agreement. If you do not agree to the terms of this agreement, you should not register for our affiliate program. We may modify this agreement from time to time, and such modification will be effective upon posting on our website. You agree to be bound by any modification of these terms and conditions when you use our affiliate program after such modification is posted on the website; therefore, it is important that you review this agreement regularly.

BaakMart may, in its sole discretion, refuse to offer our affiliate program to any user and modify its eligibility criteria at any time.
Our affiliate program may only be used in accordance with these terms and conditions and all applicable local, state, national and international laws, rules and regulations.

By registering and using our affiliate program, you represent and warrant that you have the full right, power, and authority to enter into this agreement and to fully perform all of your obligations hereunder. You further represent and warrant that you are not under any legal incapacity or contractual restriction that would prevent you from entering into this agreement.

2. WHAT IS BAAKMART?

BaakMart is a registered trademark, owned by BaakMart LLC, a registered commercial company in the United States. BaakMart LLC maintains all intellectual property rights associated with its business model, services, and the BaakMart brand.

3. WHAT IS AFFILIATE MARKETING?

Affiliate marketing consists of recommending or promoting a product or service through different media and channels such as a blog, social networks, podcasts, websites, etc. The affiliate who recommends or promotes a product or service gets a commission every time a third party makes a purchase of that product or service through the unique affiliate link associated with their recommendation or promotion.

4. RELATIONSHIP BETWEEN BAAKMART AND OTHER MARKETPLACES

BaakMart is an independent company with its own business operations and acts independently from other third parties. BaakMart is not a partner of any online platform where the user sells its product(s), nor is there any connection or business or management relationship with the online platform where the user sells its product(s). BaakMart’s business and commercial operations are completely independent of the online platform or marketplace where the user sells his/her product(s).

It is strictly forbidden for the affiliated user to use deceptive tactics to mislead the sellers of the platform where the seller sells his product in the sense that there is any kind of relationship between the platform where the seller sells his product and BaakMart.

5. BAAKMART AFFILIATE PROGRAM

BaakMart’s affiliate program allows our registered affiliate users to earn commissions from our clients’ registration fees, selling our products (Baak Slots) to interested BaakMart Sellers/Displayers/Agencies, and all services that BaakMart Agencies offer to Sellers and Displayers, through affiliate links assigned by BaakMart for each registered affiliate user. Affiliate users will get their own affiliate links and through their account they will be able to know their balance (commissions) and withdraw it through our available balance withdrawal methods.

BaakMart offers two types of BaakMart Affiliate programs:

• Single Affiliate
• Team

BaakMart Affiliate Program Features:

• 30-day tracking cookies: Once a prospective BaakMart customer clicks on an affiliate link, a cookie will be set for 30 days.
• The commission will be credited through the last click attribution.

 

Important: Commissions will be credited only when the BaakMart Seller and BaakMart Displayer complete the payment and booking process of the corresponding Baak Slot.

6. REGISTRATION AND AFFILIATE ACCOUNT

In order to promote our products (Baak Slots) through affiliate links and earn commissions, users must register in our affiliate program. To register in our affiliate program, the user must complete the registration form available on the website. You agree and undertake to (a) provide complete, true, accurate and current information as prompted by the registration form and (b) maintain and promptly update your registration information to keep it true, accurate, current, and complete. If we have reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, BaakMart reserves the right to suspend or terminate your affiliate account, cancel your affiliate links, freeze your balance and refuse any and all current or future use of the affiliate program, at any time and without notice.

BaakMart reserves the right to refuse registration to any user who fails to provide complete, truthful, accurate and current information as prompted by the affiliate program registration form.

You are responsible for maintaining the confidentiality of your password and account information and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify BaakMart of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you log out of your account at the end of each session. You may never use another user’s account without BaakMart’s prior authorization. BaakMart shall not be liable for any loss or damage arising from User’s failure to comply with this agreement.

Users may cancel their accounts at any time and for any reason through their affiliate account settings or by sending us their request through our contact information. Such cancellation will result in the deletion of the account and the deletion of all personal data provided to BaakMart.
BaakMart reserves the right to terminate your affiliate account or your access immediately, with or without notice, and without any liability to you, if BaakMart believes that you have violated any of these terms or have provided BaakMart with false or misleading information.

In case of account termination, the user must refrain from using any content related to BaakMart (name, brand, logo, photos, videos, etc.) in their promotional channels or in any other media where any BaakMart content has been published or displayed by the user. The user is responsible for removing all BaakMart affiliate links from their promotional channels or any media where affiliate links are posted. In case the user’s affiliate account has been deleted for violation of BaakMart’s policies, the user will not be able to register again and any accounts the user tries to open in our affiliate program will be immediately suspended. Users may request an appeal of accounts suspended or removed for violation of BaakMart’s policies and receive a response from BaakMart.

7. TEMPORARY APPROVAL

Upon completion of the registration form, the user will receive a first email confirmation email followed by another email informing the user that the registration request is being reviewed by BaakMart.

Once the initial registration request is approved, the affiliate user will receive a confirmation email with the BaakMart Affiliate ID. From that moment on, the affiliate user will be temporarily approved in our affiliate program until BaakMart performs a review process of the user’s content and promotion channels.

During the temporary approval process, the user will be able to generate affiliate links, promote content and earn commissions until BaakMart checks and reviews the affiliate user’s content and the way he/she promotes such content.

BaakMart may make objections and comments on the Affiliate User’s content in order for the Affiliate User to make corrections to the content or the way the Affiliate User promotes the content where affiliate links will be included in order to conform to BaakMart’s policies.

In case there is no response or reply from the affiliate user regarding objections and comments to the content and the way the content is promoted, BaakMart will suspend the affiliate user’s account until it receives a response from the affiliate user.

In case BaakMart does not approve the temporary approval process, BaakMart reserves the right to state the reasons for the refusal or reserves the right not to state the reasons. The affiliate user will have the possibility to appeal the disapproval of the temporary approval process or will have the option to make a new application for registration to our affiliate program after resolving the issues that caused the disapproval of the previous application.

8. AFFILIATE LINK GENERATION

By registering as an affiliate user, users will be able to generate affiliate links that can be used to promote BaakMart services on different promotional channels. Affiliate users can also form teams with several members.

In the future, in case the affiliated user is a team (for example an advertising agency with several employees), the affiliated user will be able to generate different affiliate links for each team member. The affiliate user will be able to manage the different affiliate links generated for his users and will be able to track each link separately through his dashboard.

Affiliate users will be able to track the following for their affiliate link generated through the affiliate account:

• Clicks: number of clicks on your affiliate link.
• Number of Sellers registered through your affiliate link.
• Number of Displayers registered through your affiliate link.
• Number of Agencies registered through your affiliate link.
• Registration Fees.
• Registration Fees Commissions.
• Number of monthly Baak Slots booked and already paid.
• Cancelled Baak Slots.
• Approved monthly Baak Slots.
• Total sales of Baak Slots (approved).
• BaakMart Agencies Services.
• Monthly commission (Not Yet Payable).
• Net Monthly commissions (Not Yet Payable)
• Net Monthly commissions payable: 10% of the total sales of Baak Slots booked and approved.

 

The affiliate user will be able to promote affiliate links through the following promotion channels:

• Websites
• Social Networking
• Blogs
• Podcast
• YouTube
• Podcast
• Personal email to sellers

 

Affiliate users may not promote affiliate links through mass mailings or paid advertisements on different platforms containing the BaakMart name or linking to BaakMart.

It is strictly forbidden for the affiliate user to offer services similar to those offered by BaakMart on its website or in any promotional media.
When promoting affiliate links in the different promotional channels the affiliate user MUST always identify himself/herself as a “BaakMart Affiliate”. This applies to all content that includes a BaakMart affiliate link.

9. COMMISSIONS

The affiliate user gets 10% for:

1. Registration Fees.
2. Each Baak Slot booked by a BaakMart Seller and BaakMart Displayer through their affiliate links.
3. BaakMart Agencies Services.

 

The 10% commission rate is applicable for the first three years following registration, or until the end of 2027, whichever occurs sooner. After this period, BaakMart reserves the right to revise the commission structure.

The commissions of the Baak Slots will be recurring and will be credited monthly to the affiliated user, as long as our client (BaakMart Seller) keeps the Baak Slot active through our services. In the event that the Baak Slot is cancelled or paused by our client (BaakMart Seller), the recurring commission corresponding to the affiliate will also be cancelled or paused and will no longer be credited to the user. In case our client (BaakMart Seller) pauses and reactivates the Baak Slot, the commission will also be activated and will be credited to the affiliate user again.

Commissions for services rendered by a BaakMart Agency to our Sellers or Displayers will be disbursed monthly once the service is completely delivered and no disputes have arisen between the BaakMart Agency and the client.

If BaakMart discovers that a BaakMart Seller/Displayer/Agency has created a BaakMart Affiliate account solely to receive commissions from their own Baak Slots/Services, it may result in the suspension of their BaakMart Seller Account and the temporary suspension of their Baak Slots/Services. Additionally, this action may lead to permanent termination of all their accounts, including the BaakMart Seller/Displayer/Agency Account and BaakMart Affiliates Account.

BaakMart allows Sellers to create and benefit from their own BaakMart Affiliates Account where they will assist other BaakMart Sellers and BaakMart Displayers in managing and optimizing their Products/Storefronts/Baak Slots. However, a BaakMart Seller/Displayer/Agency can access a BaakMart affiliates Account only if they are actively managing and optimizing Baak Slots for at least five other BaakMart Sellers and/or Displayers.

To maintain an active account, each BaakMart Affiliate must onboard at least one new BaakMart Seller, Displayer, or Agency annually. Failure to meet this requirement could result in the temporary suspension of their account and the holding of any accrued commissions.

10. PAYOUTS AND WITHDRAWALS

Commissions will be credited to the affiliate user’s account each time our client (BaakMart Seller) books a Baak Slot with a BaakMart Displayer through the affiliate user’s affiliate link and will be credited on a recurring monthly basis until our client pauses or cancels the Baak Slot. Commissions credited to the affiliate user’s account can be withdrawn through the following withdrawal methods:

• Direct deposit to bank account
• PayPal

 

Important: Withdrawals of less than $100 are not allowed.

If BaakMart has made an over or mistaken payment to you for any reason, BaakMart reserves the right to adjust or offset the over or mistaken payment against any subsequent commission income payable to you under this agreement.

If there are updates made to our terms and conditions regarding the methods of driving traffic to our website using affiliate links, any commissions generated prior to these changes will not be impacted. Such commissions can be withdrawn in the usual manner.

11. TAXES

Affiliated users are responsible for declaring and paying any taxes that may be incurred on commission payments earned through BaakMart. BaakMart is not responsible for the declaration or payment of taxes caused by commissions earned through our affiliate program. BaakMart reserves the right to request from the affiliated user the proof of payment of taxes caused by the commissions obtained through BaakMart’s affiliate program. If the affiliate user fails to provide evidence of tax payment, their BaakMart affiliate account will be temporarily suspended until they can demonstrate that the taxes owed have been paid.

12. USER CONTENT

BaakMart Affiliate Users may share their numbers/commissions earned through BaakMart to the public. Falsifying information and sharing false or misleading information for the purpose of misleading or deceiving BaakMart’s potential customers is strictly prohibited. In cases where affiliate users share false or misleading information to the public, BaakMart has the right to suspend the affiliate user’s account indefinitely.

13. PERSONAL DATA

Any personal information you submit in connection with your use of our affiliate program will be used in accordance with our privacy policy. By using and registering with our affiliate program, you consent to our collection and storage of your personal information. View our privacy policy.

14. DISPUTES

You agree that any dispute, claim, or controversy arising out of or relating to these terms and conditions, or the breach, termination, performance, interpretation or validity thereof or the use of our affiliate program, shall be resolved by binding arbitration between you and BaakMart, provided that each party retains the right to bring an individual action in a court of competent jurisdiction.

In the event of a dispute arising in connection with your use of our affiliate program or your breach of these terms and conditions, the parties agree to submit their dispute to arbitration before an arbitration organization of recognized standing, as mutually agreed by the parties and in accordance with applicable commercial arbitration rules.

You agree to initiate a formal dispute proceeding by sending us a communication through our contact information. BaakMart may choose to send you a written offer after receiving your initial communication. If we offer and send you a settlement offer and you do not accept the offer, or we are unable to resolve your dispute satisfactorily and you wish to continue with the dispute process, you must initiate the dispute resolution process before an accredited arbitration organization and file a separate Demand for Arbitration. Any award rendered by the arbitration tribunal shall be final and conclusive upon the parties.

To the fullest extent permitted by law, you agree that you will not file, join or participate in any class action lawsuit in connection with any claim, dispute or controversy that may arise in connection with your use of our affiliate program.

The courts of the United States, specifically the courts located in the State of Wyoming, shall have jurisdiction over any dispute, controversy or claim relating to BaakMart and its business operations. Any such dispute or controversy shall be brought and resolved in the courts of the United States, specifically the courts located in the State of Wyoming.

15. FINAL PROVISIONS

These terms and conditions are governed by the laws of the United States. Use of our affiliate program is not authorized in any jurisdiction that does not give effect to all provisions of these terms. All communications made or notices given under this Agreement shall be in the English language.

Nothing in these terms limits our ability to comply with the law or other governmental or legal requests or requirements relating to your use of our affiliate program or information provided to or collected by us in connection with such use. Our compliance with these terms is subject to applicable law and legal process.

If any part of these terms is held invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired. Our failure to enforce or waive any provision of these terms at any time does not waive our right to enforce the same or any other provision in the future.

Any rights not expressly granted herein are reserved.

16. PROHIBITED ACTIVITIES

You agree to comply with all applicable laws, rules, and regulations while participating in our affiliate program. You shall not engage in any activities that are prohibited, illegal, or unethical, including but not limited to:

1. Spamming: Sending unsolicited emails or messages containing BaakMart affiliate links or promotional materials.
2. Fraudulent activities: Engaging in fraudulent or deceptive practices to generate affiliate commissions.
3. Misrepresentation: Misrepresenting BaakMart or its products in any way, including falsely claiming affiliations or endorsements.
4. Infringement: Violating intellectual property rights, including copyright, trademarks, or any other proprietary rights.
5. Unethical practices: Engaging in practices that harm BaakMart’s reputation or the reputation of its products.

 

17. TERMINATION OF AFFILIATE ACCOUNT

BaakMart reserves the right to terminate your affiliate account or suspend your access to the affiliate program at any time and for any reason, without prior notice or liability. Reasons for termination or suspension may include, but are not limited to:

1. Violation of these terms and conditions or any applicable laws or regulations.
2. Engaging in prohibited activities as outlined in Section 15.
3. Providing false or misleading information during the registration process.
4. Failure to comply with BaakMart’s policies or guidelines.
5. Any other behavior or action deemed detrimental to BaakMart’s interests or reputation.

 

18. REMOVAL OF AFFILIATE LINKS

In the event of termination or suspension of your affiliate account, you must immediately remove all BaakMart affiliate links from your promotional channels and cease any further promotion of BaakMart products or services. You are responsible for ensuring the prompt removal of all affiliate links and associated content.

19. APPEALS PROCESS

If your affiliate account is suspended or terminated, you may request an appeal by contacting BaakMart through the provided contact information. BaakMart will review your appeal and provide a response within a reasonable timeframe. BaakMart’s decision regarding the appeal will be final and binding.

20. INTELLECTUAL PROPERTY RIGHTS

BaakMart retains all rights, titles, and interests in its intellectual property, including but not limited to trademarks, logos, brand names, and copyrighted materials. You are granted a limited, non-exclusive, non-transferable right to use BaakMart’s intellectual property solely for the purpose of promoting BaakMart’s products and services as an affiliate. You shall not modify, reproduce, distribute, or create derivative works of BaakMart’s intellectual property without prior written consent.

21. LIMITATION OF LIABILITY

BaakMart shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your participation in the affiliate program, including but not limited to loss of profits, data, or business opportunities. BaakMart’s total liability to you for any claim arising from or related to the affiliate program shall not exceed the total commissions earned by you in the six months preceding the claim.

22. GOVERNING LAW AND JURISDICTION

These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction where BaakMart is registered. Any dispute, claim, or controversy arising out of or relating to these terms and conditions, or the affiliate program shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

23. ENTIRE AGREEMENT

23.1. These terms and conditions, along with any additional policies or guidelines provided by BaakMart, constitute the entire agreement between you and BaakMart regarding the affiliate program. Any previous agreements, understandings, or representations, whether written or oral, are hereby superseded.

23.2. Any modifications or amendments to these terms and conditions must be made in writing and signed by both parties. Failure to enforce any provision of these terms and conditions shall not constitute a waiver of such provision or any other provision.

23.3. If any provision of these terms and conditions is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be interpreted to the maximum extent permitted by applicable law to reflect the original intentions of the parties.

23.4. You may not assign, transfer, or delegate any of your rights or obligations under these terms and conditions without prior written consent from BaakMart. BaakMart may freely assign, transfer, or delegate its rights and obligations under these terms and conditions without your consent.

23.5. The headings and titles in these terms and conditions are for convenience only and shall not affect the interpretation of the provisions.

23.6. These terms and conditions are binding upon and shall inure to the benefit of the parties and their respective successors, assigns, and legal representatives.
